1) Zakres stosowania
1.1 Niniejsze Ogólne Warunki Umowy (zwane dalej "GTC") spółki Sanadog GmbH (zwanej dalej "Sprzedającym") mają zastosowanie do wszystkich umów dostawy towarów zawartych między konsumentem lub przedsiębiorcą (zwanym dalej "Klientem") a Sprzedającym w odniesieniu do towarów wystawionych przez Sprzedającego w jego sklepie internetowym. Włączenie własnych warunków zostaje niniejszym wyraźnie wykluczone, chyba że ustalono inaczej.
1.2 Niniejsze GTC stosuje się odpowiednio do zamówień na dostawę bonów, chyba że wyraźnie określono inaczej.
1.3 Do celów niniejszego GTC konsument oznacza każdą osobę fizyczną, która zawiera transakcję prawną w celach, które w przeważającej mierze wykraczają poza jego handel, działalność gospodarczą lub zawód.
1.4 Do celów niniejszego GTC przedsiębiorca oznacza każdą osobę fizyczną lub prawną lub spółkę z osobowością prawną, która przy zawieraniu transakcji prawnych prowadzi działalność handlową, gospodarczą lub zawodową.
1.5 Przedmiotem umowy może być, w zależności od opisu produktu Sprzedającego, dostawa towarów albo jako dostawa jednorazowa, albo na zasadzie ciągłości (zwana dalej "umową subskrypcyjną"). W przypadku umowy abonamentowej Sprzedający zobowiązuje się do dostarczenia Klientowi towary należne na mocy umowy na uzgodniony czas trwania w ustalonych odstępach czasu dostawy.

2) Zawarcie umowy
2.1 Opisy produktów zawarte w sklepie internetowym Sprzedającego nie stanowią wiążącej oferty ze strony Sprzedającego, lecz służą wyłącznie do umożliwienia Klientowi złożenia wiążącej oferty.
2.2 Klient może złożyć ofertę poprzez formularz zamówienia online zintegrowany ze sklepem internetowym Sprzedawcy. W ten sposób, po umieszczeniu wybranych towarów w wirtualnym koszu zakupów i zakończeniu elektronicznego procesu zamawiania, Klient składa prawnie wiążącą ofertę zawarcia umowy w odniesieniu do towarów zawartych w koszu zakupów poprzez kliknięcie przycisku, który finalizuje proces zamawiania.
2.3 Sprzedający może przyjąć ofertę Klienta w ciągu pięciu dni, wysyłając Klientowi pisemne potwierdzenie zamówienia lub potwierdzenie w formie tekstowej (np. faksem lub pocztą elektroniczną), dostarczając zamówione towary do Klienta lub żądając zapłaty. Jeżeli wystąpi kilka z tych alternatyw, umowa zostaje zawarta, gdy nastąpi pierwsze z tych wydarzeń. Jeżeli Sprzedający nie zaakceptuje oferty Klienta w tym terminie, oferta zostanie uznana za odrzuconą.
2.4 Przy wyborze metody płatności oferowanej przez PayPal przetwarzanie płatności odbywa się za pośrednictwem PayPal (Europe) S.à r.l. et Ci, S.C.A., 22–24 Boulevard Royal, L..2449 Luksemburg ("PayPal"), na mocy umowy z użytkownikiem PayPal dostępnej pod adresem: https://www.paypal.com/de/webapps/mpp/ua/useragreement-full lub, jeżeli Klient nie posiada konta PayPal, na warunkach płatności bez konta PayPal, dostępnych na stronie https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. Kennedy, L..1855 Luksemburg ("Amazon"), na podstawie umowy Amazon Payments Europe User Agreement, dostępny pod adresem: https://pay.amazon.de/help/201751590. Gdy Klient wybiera "płatności Amazon" jako metodę płatności w trakcie procesu zamówienia online, wydaje także Amazon instrukcję płatności klikając przycisk, który finalizuje zamówienie. W takim przypadku Sprzedający deklaruje przyjęcie oferty Klienta w momencie uruchomienia procesu płatności.
2.6 Składając ofertę za pośrednictwem formularza zamówienia internetowego Sprzedającego, tekst umowy jest przechowywany przez Sprzedającego po zawarciu umowy i przesyłany Klientowi w formie tekstowej (np. pocztą elektroniczną, faksem lub listem). Jeżeli Klient utworzył konto użytkownika przed złożeniem zamówienia, dane zamówienia zostaną zarchiwizowane na stronie internetowej Sprzedającego i będą dostępne za pośrednictwem konta zabezpieczonego hasłem.
2.7 Przed złożeniem zamówienia Klient może zidentyfikować i skorygować błędy wejściowe poprzez dokładne przeglądanie informacji wyświetlanych na ekranie.
2.8 Językiem umowy jest język niemiecki.
2.9 Przetwarzanie zamówień i komunikacja zazwyczaj odbywa się drogą elektroniczną. Klient musi upewnić się, że podany adres e-mail jest poprawny, aby e-maile wysyłane przez Sprzedającego mogły być odbierane.

3) Prawo do wycofania
3.1 Konsumenci mają zazwyczaj prawo do odstąpienia od umowy.
3.2 Szczegółowe informacje na temat prawa odstąpienia od umowy zawarte są w polityce odstąpienia od umowy przez Sprzedającego.

4) Ceny i warunki płatności
4.1 O ile w opisie produktu Sprzedającego nie określono inaczej, wskazane ceny są cenami całkowitymi, w tym ustawowym podatkiem VAT. Wszelkie dodatkowe koszty dostawy i wysyłki są określone oddzielnie.
4.2 W dostępne metody płatności są przekazywane Klientowi w sklepie internetowym Sprzedającego.
4.3 Jeżeli uzgodniono wypłatę zaliczki przelewem bankowym, płatność jest wymagalna niezwłocznie po zawarciu umowy.
4.4 Przy wyborze metody płatności "SOFORT" płatność jest przetwarzana za pośrednictwem SOFORT GmbH, Theresienhöhe 12, 80339 Monachium ("SOFORT"). Aby skorzystać z tej metody płatności, Klient musi mieć aktywowany rachunek bankowy online dla SOFORT i potwierdzić instrukcję płatności. 5) Warunki dostawy i wysyłki
5.1 Jeżeli Sprzedający oferuje dostawę, towar zostanie dostarczony w obszarze dostawy określonym przez Sprzedającego na adres dostawy podany przez Klienta.
5.2 Jeżeli dostawa nie zostanie zrealizowana z przyczyn leżących po stronie Klienta, Klient ponosi wszelkie poniesione koszty.
5.3 Jeżeli Klient działa jako przedsiębiorca, ryzyko przypadkowej utraty lub pogorszenia jakości towaru przechodzi na Klienta po przekazaniu towaru przez Sprzedającego przewoźnikowi. Jeśli Klient działa jako konsument, ryzyko przechodzi po otrzymaniu towarów.
5.4 Sprzedający zastrzega sobie prawo do odstąpienia od umowy w przypadku nieprawidłowej lub niewłaściwej dostawy. Sprzedający dołoży odpowiednich starań, aby nabyć towary. W przypadku niedostępności Klient zostanie niezwłocznie poinformowany i zwrócony.
5.5 Kolekcja przez Klienta nie jest możliwa.
5.6 Bony są dostarczane pocztą elektroniczną.

6) Termin i rozwiązanie umów subskrypcyjnych
6.1 Umowy subskrypcji są zawierane na czas nieokreślony i mogą zostać rozwiązane przez Klienta w dowolnym momencie bez powiadomienia.
6.2 Prawo do rozwiązania sprawy pozostaje nienaruszone.
6.3 Wygaśnięcie może być dokonane na piśmie, pocztą elektroniczną lub za pomocą przycisku anulowania na stronie internetowej Sprzedającego.

7) Zachowanie tytułu
Jeżeli Sprzedający dokonuje przedterminowych dostaw, prawo własności towarów pozostaje u Sprzedającego do momentu pełnej zapłaty ceny zakupu.

8) Odpowiedzialność za wady (gwarancja)
O ile nie przewidziano inaczej, zastosowanie mają przepisy ustawowe dotyczące odpowiedzialności za wady. W przypadku umów dostawy towarów stosuje się następujące odstępstwa:
8.1 Jeżeli Klient działa jako przedsiębiorca:
- Sprzedający może wybrać rodzaj późniejszej wydajności.
- W odniesieniu do nowych towarów okres przedawnienia dla wniosków o wady wynosi jeden rok od daty dostawy.
- W przypadku towarów używanych wyłącza się prawa do wad.
- Okres przedawnienia nie rozpoczyna się ponownie po dostawie zastępczej.
8.2 Powyższe ograniczenia nie mają zastosowania do:
- roszczenie o odszkodowanie i zwrot kosztów.
- Słabo ukryte wady.
- Towary używane do budowy i które spowodowały ich defektywność.
- Obowiązek dostarczania aktualizacji cyfrowych elementów towarów.
8.3 W przypadku przedsiębiorców ustawowe okresy przedawnienia dotyczące prawa do odwołania się pozostają nienaruszone.
8.4 Jeżeli Klient jest kupcem, musi wypełniać obowiązki związane z inspekcją i notyfikacją zgodnie z sekcją 377 HGB.
8.5 Jeżeli Klient jest konsumentem, proszony jest o zgłoszenie wszelkich oczywistych uszkodzeń transportowych przewoźnika i poinformowanie o tym Sprzedającego.

9) Odpowiedzialność
9.1 Sprzedający ponosi odpowiedzialność bez ograniczeń:
- Za zamiar lub rażące zaniedbanie.
- Za uszkodzenie życia, ciała lub zdrowia.
- Pod żadną gwarancją.
- W ramach obowiązkowej odpowiedzialności ustawowej, takiej jak ustawa o odpowiedzialności za produkt.
9.2 Jeżeli Sprzedający nieświadomie narusza istotne zobowiązanie umowne, odpowiedzialność ogranicza się do przewidywalnych, typowych szkód.
9.3 Wszelkie dalsze zobowiązania Sprzedającego są wyłączone.
9.4 Powyższe przepisy stosuje się również do przedstawicieli Sprzedającego i jego zastępców.

10) Odkupienie voucherów promocyjnych
10.1 Bony promocyjne wydawane bezpłatnie na określony okres mogą być wykupione wyłącznie w sklepie internetowym Sprzedającego w określonym terminie.

1) Scope of Application
1.1 These General Terms and Conditions (hereinafter “GTC”) of Sanadog GmbH (hereinafter “the Seller”) shall apply to all contracts for the supply of goods concluded between a consumer or trader (hereinafter “the Customer”) and the Seller in respect of the goods displayed by the Seller in its online shop. The inclusion of the Customer’s own terms and conditions is hereby expressly excluded, unless otherwise agreed.
1.2 These GTC shall apply accordingly to contracts for the supply of vouchers, unless expressly stated otherwise.
1.3 For the purposes of these GTC, a consumer means any natural person who enters into a legal transaction for purposes that are predominantly outside his or her trade, business or profession.
1.4 For the purposes of these GTC, a trader means any natural or legal person or partnership with legal personality who, when entering into a legal transaction, acts in the exercise of his or her trade, business or profession.
1.5 The subject matter of the contract may, depending on the Seller’s product description, be the supply of goods either as a one-off delivery or on a continuing basis (hereinafter “subscription contract”). In the case of a subscription contract, the Seller undertakes to supply the Customer with the goods owed under the contract for the agreed duration at the agreed delivery intervals.

2) Conclusion of Contract
2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers on the part of the Seller but serve solely to enable the Customer to submit a binding offer.
2.2 The Customer may submit the offer via the online order form integrated into the Seller’s online shop. In doing so, after placing the selected goods in the virtual shopping basket and completing the electronic order process, the Customer submits a legally binding offer to enter into a contract with respect to the goods contained in the shopping basket by clicking the button which finalises the order process.
2.3 The Seller may accept the Customer’s offer within five days by sending the Customer a written order confirmation or confirmation in text form (e.g. by fax or e-mail), delivering the ordered goods to the Customer, or requesting payment. If several of these alternatives occur, the contract is concluded when the first of these events occurs. If the Seller does not accept the Customer’s offer within this period, the offer shall be deemed rejected.
2.4 When selecting a payment method offered by PayPal, payment processing is carried out via PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg (“PayPal”), under the PayPal User Agreement available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or, if the Customer does not have a PayPal account, under the terms for payments without a PayPal account, available at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. The Seller declares acceptance of the Customer’s offer at the time the Customer clicks the button finalising the order process.
2.5 When selecting the “Amazon Payments” payment method, payment is processed via Amazon Payments Europe s.c.a., 38 Avenue John F. Kennedy, L-1855 Luxembourg (“Amazon”), under the Amazon Payments Europe User Agreement, available at https://pay.amazon.de/help/201751590. When the Customer selects “Amazon Payments” as the payment method during the online order process, he or she also issues a payment instruction to Amazon by clicking the button that finalises the order. In such a case, the Seller declares acceptance of the Customer’s offer at the time the payment process is triggered.
2.6 When submitting an offer via the Seller’s online order form, the contract text is stored by the Seller after conclusion of the contract and sent to the Customer in text form (e.g. by e-mail, fax, or letter). If the Customer has created a user account prior to placing the order, the order data will be archived on the Seller’s website and can be accessed via his or her password-protected account.
2.7 Before submitting the order, the Customer can identify and correct any input errors by carefully reviewing the information displayed on the screen.
2.8 The contract language shall be German.
2.9 Order processing and communication usually take place by e-mail. The Customer must ensure that the e-mail address provided is correct so that e-mails sent by the Seller can be received.

3) Right of Withdrawal

4) Prices and Payment Terms

4.3 If advance payment by bank transfer has been agreed, payment is due immediately upon conclusion of the contract.

5) Delivery and Shipping Terms
5.1 If the Seller offers delivery, the goods will be delivered within the delivery area specified by the Seller to the delivery address provided by the Customer.
5.2 If delivery fails for reasons attributable to the Customer, the Customer shall bear any reasonable costs incurred.
5.3 If the Customer acts as a trader, the risk of accidental loss or deterioration of the goods passes to the Customer once the Seller has handed the goods to the carrier. If the Customer acts as a consumer, the risk passes upon receipt of the goods.
5.4 The Seller reserves the right to withdraw from the contract in cases of incorrect or improper self-supply. The Seller shall make reasonable efforts to procure the goods. If unavailable, the Customer will be informed promptly and refunded.
5.5 Collection by the Customer is not possible.
5.6 Vouchers are provided by e-mail.

6) Term and Termination of Subscription Contracts
6.1 Subscription contracts are concluded for an indefinite period and may be terminated by the Customer at any time without notice.
6.2 The right to terminate for cause remains unaffected.
6.3 Termination may be made in writing, by e-mail, or via the cancellation button on the Seller’s website.

7) Retention of Title
If the Seller makes advance deliveries, ownership of the goods remains with the Seller until full payment of the purchase price.

8) Liability for Defects (Warranty)
Unless otherwise provided, statutory provisions on liability for defects apply. For contracts for the delivery of goods, the following deviations apply:
8.1 If the Customer acts as a trader:
- The Seller may choose the type of subsequent performance.
- For new goods, the limitation period for defect claims is one year from delivery.
- For used goods, defect rights are excluded.
- The limitation period does not restart following replacement delivery.
8.2 The above limitations do not apply to:
- Claims for damages and reimbursement of expenses.
- Fraudulently concealed defects.
- Goods used for a building and which caused its defectiveness.
- Any obligation to provide updates for digital elements of goods.
8.3 For traders, statutory limitation periods for rights of recourse remain unaffected.
8.4 If the Customer is a merchant, he or she must comply with the duties of inspection and notification under Section 377 HGB.
8.5 If the Customer is a consumer, he or she is requested to report any obvious transport damage to the carrier and inform the Seller accordingly.

9) Liability
9.1 The Seller is liable without limitation:
- For intent or gross negligence.
- For injury to life, body or health.
- Under any guarantee.
- Under mandatory statutory liability, such as the Product Liability Act.
9.2 If the Seller negligently breaches a material contractual obligation, liability is limited to foreseeable, typical damage.
9.3 Any further liability of the Seller is excluded.
9.4 The above provisions apply also to the Seller’s representatives and vicarious agents.

10) Redemption of Promotional Vouchers
10.1 Promotional vouchers issued free of charge for a specific period may be redeemed only in the Seller’s online shop within the specified period.
